BINAR3 PRIVACYGUARD — PARTNER AGREEMENT
This Partner Agreement ("Agreement") is entered into between Binar3 ("Company"), provider of the PrivacyGuard privacy compliance platform, and the partner organisation executing this Agreement ("Partner").
1. Appointment
Subject to the terms of this Agreement, Binar3 appoints Partner as a non-exclusive authorised partner to promote, resell, and/or implement the PrivacyGuard platform ("Platform") within the agreed territory. Binar3 retains the right to appoint other partners or sell directly in the same territory.
2. Partner Obligations
The Partner agrees to:
Maintain at least one staff member trained and competent in PrivacyGuard;
Actively promote and demonstrate the Platform to prospective clients;
Provide first-level customer support to end clients for Platform usage;
Comply with all applicable laws, regulations, and Binar3 partner guidelines;
Refrain from conduct that damages the reputation or goodwill of Binar3 or the Platform.
3. Commercial Terms
Commission rates, pricing tiers, minimum resale prices, and payment schedules are as set forth in Schedule A, to be negotiated and executed separately. Binar3 reserves the right to modify pricing with 30 days' written notice. The Partner shall not discount the Platform below agreed minimum resale prices.
4. Intellectual Property
Binar3 retains all intellectual property rights in the Platform, trademarks, logos, and documentation. Binar3 grants the Partner a limited, non-exclusive, revocable licence to use approved co-branded marketing materials solely for purposes of this Agreement. The Partner shall not reverse-engineer, decompile, or create derivative works from the Platform.
5. Confidentiality
Each party shall hold the other's confidential information in strict confidence and shall not disclose it to any third party without prior written consent. This obligation survives termination of this Agreement for three (3) years.
6. Data Protection
The Partner shall comply with all applicable data protection laws including the Digital Personal Data Protection Act 2023 (India), GDPR (EU/UK), and other applicable privacy regulations in its territory. The Partner shall execute appropriate Data Processing Agreements with its end clients where required. Any data breach involving the Platform must be reported to Binar3 within 48 hours of discovery.
7. Term & Termination
This Agreement commences on the date of execution and continues for one (1) year, automatically renewing for successive one-year terms unless either party provides 30 days' written notice of non-renewal. Either party may terminate immediately for material breach unremedied within 15 days of written notice. Binar3 may terminate immediately for fraudulent, unethical, or illegal conduct by the Partner.
8. Limitation of Liability
Neither party shall be liable for indirect, incidental, consequential, or punitive damages arising out of this Agreement. Binar3's aggregate liability shall not exceed commissions paid to the Partner in the three (3) months preceding the claim.
9. Representations & Warranties
The Partner represents and warrants that: (a) it has full legal authority to execute this Agreement; (b) execution does not conflict with any other obligation; (c) it will conduct business ethically and in full compliance with applicable law.
10. Governing Law & Dispute Resolution
This Agreement is governed by the laws of India. All disputes shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.
11. Entire Agreement
This Agreement, together with Schedule A (to be agreed separately), constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, and understandings on this subject matter. Any modifications must be in writing and signed by both parties.
